ENTITY FORMATION

ENTITY FORMATION/QUALIFICATION

One of the most important decision an entrepeneur will make is his/her entity type. With so many options available, how do you decide what business type works best for your business? What are the differences and benefits in the different business types? Here are a few key points about some of the most popular business types:

LLC

  • easiest and most flexible way to start a business today
  • provides limitied liability protection for its members (owners)
  • pass-through taxation
  • management flexibility 

C CORP

  • oldest and most common business structure
  • may be authorized to sell an unlimited number of shares or even become a publicly traded company
  • a major con to consider before forming a C Corp is the issue of double taxation (being taxed at the corporate level as well as personally)

S CORP

  • structure and filing paperwork very similar to a C Corp
  • the major difference between an S Corp and a C Corp is that S Corps are eligible for special pass-through taxation status with the IRS
  • shareholders must be individuals and US citizens

GENERAL PARTNERSHIP

  • pass-through taxation
  • two or more partners required
  • partners share the profits as well as the liabilities and management responsibilities 

LIMITED PARTNERSHIP

  • one or more general  partners  
  • one or more limited partners 
  • general partners manage the business  
  • general partners have 100% liability  for obligations 
  • limited partners do not participate in running the business and liability is limited to their capital contribution  
  • pass-through taxation

LIMITED LIABILITY PARTNERSHIP

  • pass-through taxation
  • limited liability for all partners
  • only available for use by certain professionals (i.e. attorneys and physicians)

EMPLOYER IDENTIFICATION NUMBER (EIN)

An employer identification number or tax identification number (TIN) is issued by the IRS. This number consists of nine (9) digits and is typically required for your business to open a bank account as well as conduct certain other business functions.
